Terms of Service.

1. The agreement

These terms form a binding agreement between you and AI KAT Limited (trading as Twinnin), a company registered in England and Wales. By creating an account, you agree to these terms.

2. What Twinnin is

Twinnin is a registry and licensing platform that enables verified humans to license their face, voice, or full likeness to third parties (brands, broadcasters, agencies, AI labs) on terms the talent sets. Twinnin is a facilitator. Twinnin does not buy your likeness, own your likeness, or use your likeness without a specific signed licence.

3. Eligibility

You must be 18 or older to register a twin. You must be the person you claim to be — verified through our identity process. You must have the legal right to license your own likeness (no exclusive prior conflicting agreements that prevent this).

4. Your rights as talent

• Ownership. You always own your likeness. Always.
• Approval. Every individual licence requires your specific approval before it activates.
• Revocation. You can revoke your registration at any time. Active licences run to expiry; no new licences can be granted after revocation.
• Categorical exclusions. You can lock out categories of use at registration (e.g. political, sexual, religious advocacy). Once locked, they cannot be unlocked by any specific licensing request.
• Compensation. You receive 75% of every licence fee, regardless of agent status. Always.

5. Commercial terms

Twinnin charges no upfront fee to register. Revenue is generated through commissions on approved licences:

• Direct deals: Twinnin takes 25% of the licence fee.
• Agent-managed deals: Twinnin takes 10%, your agent takes 15% (both deducted from the 25% — never from your 75%).

All payments are processed via Stripe or equivalent partners. We pay out monthly, subject to clearance.

6. What you cannot do

• Register someone else's likeness
• Misrepresent your identity, employment, or rights
• Use the platform to circumvent the licensing process
• Re-sell, sublicense, or transfer your account
• Scrape, reverse-engineer, or attempt to extract data from the platform

7. What Twinnin cannot do

• Use your likeness in any way without a current, approved licence in your dashboard
• Sell your data to third parties
• Train AI models on your face without a separate, specific licence
• Unilaterally change the categorical exclusions you set at registration
• Continue using your likeness after you revoke registration (subject to in-flight licences running to expiry)

8. Buyer obligations (brands, agencies, AI labs)

Buyers who license a twin agree to:

• Use the twin only within the specific scope of the approved licence
• Maintain audit-ready records of use
• Not extend, alter, or sublicense the use beyond the agreed scope
• Comply with the Twinnin Framework v1.0 — including the red list of prohibited categories
• Respect categorical exclusions set by talent

Out-of-scope use voids the licence and triggers contractual remedies, takedown, and potential statutory damages under the NO FAKES Act, EU AI Act, and applicable law.

9. Disputes

Disputes between talent and buyers can be raised through the platform. Twinnin mediates in good faith but is not a court. Serious disputes may require external legal action — and the platform's audit trail supports either party.

10. Liability

Twinnin's liability is limited to the fees you've paid (talent) or the licence fees in question (buyers) in the 12 months preceding the claim, except where law prohibits such limitation. We do not warrant any specific level of licensing demand or income.

11. Governing law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, subject to applicable consumer rights.

12. Changes to these terms

We may update these terms. Material changes require 30 days' notice and renewed consent from active users.
